Arizona Domestic and Foreign LLCs and Corporations Business Entity Publishing Requirements
In Arizona, the statute that requires the publication of legal notices for Domestic and Foreign LLCs is A.R.S. § 29-3201(G). For Domestic and Foreign corporations, the publication requirement is outlined in A.R.S. § 10-203(D). These statutes mandate that after the formation of a Domestic or Foreign LLC or Corporation, a legal notice of the filing of the articles shall be published in a newspaper of general circulation in the county of the statutory agent’s street address.
The publication must occur within 60 days of filing the Articles of Organization (for LLCs) or the Articles of Incorporation (for corporations) with the Arizona Corporation Commission, and the notice must run for 3 consecutive publications. However, if the business is based in Maricopa or Pima counties, the requirement is waived because this Arizona Corporation Commission (ACC) automatically publishes the formation in the Public Notice database at no charge.
If this legal notice is NOT published, then you are NOT in compliance with the State of Arizona Statute.
Penalty for Not Publishing your Arizona LLC or Corporation
In Arizona, if a corporation fails to comply with the publication requirement, the corporation may face a penalty. Specifically:
• The Arizona Corporation Commission may administratively dissolve the corporation or revoke its authority to do business in Arizona until the publication requirement is met.
• The corporation could also face fines or other penalties as determined by the Commission or the court.
It’s important for corporations to ensure they comply with all statutory requirements to avoid these potential penalties.
By having us publish your Arizona LLC or Corporation this can be avoided.
